ELIGIBILITY - The Empire Theatres’ “Win a Trip to see FAME” Contest (“Contest”) is being conducted by Empire Theatres Limited (“Empire Theatres”), and is only open to legal residents of Canada who are 21 years of age or older as of the Contest Draw Date, excluding residents of Saskatchewan, the Province of Quebec, Yukon, Nunavut and Northwest Territories, and excludes the employees of Empire Theatres, together with its partners, licensors, associates, the prize suppliers (including, without limitation, Metro-Goldwyn-Mayer Studios Inc. (“”MGM”)), and each of their respective parents, affiliates, advertising and promotional agencies (collectively, with Empire Theatres and MGM, the “Contest Entities”), and the persons with whom such employees are domiciled, as either contest entrants or Grand Prize winner’s guest. The Grand Prize winner’s guest must also be a legal resident of Canada.

Contest Start Date: Friday August 28, 2009 at 10:01am (ADT)
Contest Closing Date: Friday September 11, 2009 at 11:59pm (ADT)
Contest Draw Date: Monday September 14, 2009
In order to be eligible to win the Prize in this Contest, entrants must fully complete the Contest entry form available at empiretheatres.com/contests, including the correct answer to the mathematical skill-testing question, and submit the entry between the Contest Start Date and no later than the Contest Closing Date.
By participating in the Contest, each entrant agrees to the collection, use and disclosure by Empire Theatres of the personal information provided by the entrant on the online entry form and in participating in the Contest for the purpose of administering the contest. The entrant’s personal information will not be used for any other purpose, nor will it otherwise be disclosed to other third parties, unless otherwise required by law.  
By participating in the Contest, each entrant confirms that they have reviewed, and agrees to, these Official Rules and that he/she is 21 years of age or older.
Limit one (1) entry per person.  If it is discovered that you attempted to enter more than one time during the contest period, all of your entries will be void.

ODDS
The odds of winning the Prize in this Contest are dependent upon the total number of qualified entries received by the Contest Closing Date.

PRIZE
There is one (1) grand prize available to be won. The prize consists of: “A trip for two (2) to see a Special Red Carpet Screening of Fame on September 24, 2009 in Las Vegas”. One (1) Grand Prize Winner will win the following Grand Prize: [1] A trip for two (2) people for use by the Grand Prize winner and one (1) guest from September 23 – 26, 2009 to see a special red carpet screening of the movie “FAME” currently scheduled on September 24, 2009 in Las Vegas, Nevada (exact location to be determined in MGM’s sole discretion), plus two (2) tickets for use by the Grand Prize winner and one (1) guest to the after-party (time and location to be determined in MGM’s sole discretion); [2] round-trip coach airfare for winner and one (1) guest between the major Canadian airport nearest the Prize Winner’s home (as selected in Empire Theatres’ sole discretion) and Las Vegas, Nevada; [3] three (3) nights’ hotel accommodations (standard room, double occupancy) at the Paris Las Vegas Hotel from September 23 – 26, 2009. [4] ground transportation to/from the hotel accommodations to the airport in Las Vegas upon arrival and departure. Estimated retail value of Grand Prize is $4,000.00 CAD based on departure from Toronto, ON. Actual retail value of Grand Prize Trip depends on the point of departure, market conditions and airfare fluctuations at the time the Prize is awarded. Contest Entities are not responsible for and Grand Prize winner will not receive the difference between the actual value of the prize at the time of award and the stated estimated retail value in these Official Rules or in any Contest-related correspondence or materials. Proof of identification and compliance with all travel requirements will be required and are the sole responsibility of the Grand Prize winner and guest. Grand Prize winner may be required to provide a credit card at time of hotel check-in to cover hotel incidentals. All travel arrangements comprising the Grand Prize will be determined by Empire Theatres and/or its designated agent(s) in their sole discretion. Grand Prize winner and guest must travel on the same itinerary and depart from and return to the same airport. Grand prize winner and his/her guest must be at least 21 years of age or older to be eligible to win the prize. Valid passports for the winner and his/her guest are required. Airline travel is subject to selected airline’s rules and restrictions. Transfers, taxes, airport and airline fees, gratuities and all other expenses not specified herein are the sole responsibility of the Grand Prize winner and his/her guest, including without limitation, other ground transportation, food, and beverages, telephone calls, and in-room charges. Trip must be taken on dates and from the airport specified by Contest Entities, or prize may be forfeited. All dates and locations are subject to change in Contest Entities’ sole discretion.  Travel and lodging are subject to availability at time of booking and certain travel restrictions apply. No compensation is offered for any portion of the Prize not utilized; any portion of the Prize not utilized and its corresponding value will be forfeited. No cash value. Prize winner and his/her guest are responsible for obtaining travel insurance (and all other forms of insurance) that they may wish to obtain (at their own expense); the Contest Entities have not and will not obtain or provide travel insurance or any other form of insurance. If any part of the Grand Prize is unable to take place as planned, for any reason, including but not limited to, cancellation, scheduling conflicts and/or postponement, the remaining components of the prize will be rewarded and Empire Theatres’ obligation to the Grand Prize winner will be fulfilled and no other additional compensation will be provided. Flight schedules are subject to change without notice. Contest Entities are not liable for any missed prize events, opportunities or expenses incurred as a consequence of flight cancellation/delay or ground transportation delay.  Grand Prize winner agrees that his/her guest must comply with Empire Theatres’ and each prize provider’s procedures and policies and must complete, sign, have notarized and return a release of liability and, where legal, a publicity release to Empire Theatres in the timeframe specified by Empire Theatres or travel will not be allowed. Once selected by the Grand Prize winner, the guest cannot be changed without the express consent of Empire Theatres, which may be withheld for any reason. By accepting the Grand Prize, the Grand Prize winner agrees to maintain his/her behaviour in accordance with all applicable laws and generally accepted social practices in connection with participation in any Contest or prize-related activity, including, without limitation, attending the motion picture screening and the after-party. The Grand Prize winner understands and agrees that Empire Theatres or prize providers have the right, in their sole discretion, to disqualify and remove the winner or his/her guest from any activity at any time if the winner’s or his/her guest’s behaviour at any point is uncooperative, disruptive, or may or does cause damage to person, property, or the reputation of Empire Theatres or prize providers or otherwise violates the policies of the prize providers.
There is one (1) secondary prize available to be won consisting of one (1) $500 gift card from Le Chateau. This card is redeemable for merchandise at any Le Château Inc. (“Le Château”) retail location in Canada. The card is not applicable towards the purchase of a gift card. Card has no cash value and is non-refundable. Purchases will be deducted from card amount until card amount reaches zero.
Limit one prize per person. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Contest Entities will have no further obligation with respect to that prize or portion of the prize. No transfers, prize substitutions or cash redemptions will be made, except at Empire Theatre’s sole discretion. Winners are strictly prohibited from selling, auctioning, trading or otherwise transferring any part of a prize.  Contest Entities will not replace any lost, mutilated or stolen prize or any prize that is undeliverable or does not reach a winner because of an incorrect or changed address. If a winner does not accept or use the entire prize, the unaccepted or unused part of the prize will be forfeited and Contest Entities will have no further obligation with respect to that prize or portion of the prize.
Draw Date: on September 14, 2009, at approximately 1:00pm ADT in Halifax, Nova Scotia, a representative of Empire Theatres will conduct a random draw from all eligible entries to award one (1) “Trip to see FAME on September 24, 2009” and one (1) $500 gift card at Le Chateau as set out above. Prizes will be awarded in the order listed above.  In order to be considered a potential winner, selected entrant must have correctly answered the skill-testing question on the entry form.
Eligible prize draw winner for the Grand Prize Trip for Two to Las Vegas will be contacted by phone and/or email (in Empire Theatres’ sole discretion), and will be required to complete and return a Release form within 2 business days of receiving the notification in order to redeem their prize. Failure to respond or claim the prize within 2 days after notification or return of e-mail notification as undeliverable after 1 attempt will result in forfeiture of the Prize and another random draw will be made in Empire Theatres’ sole discretion.
Eligible prize draw winner for the Secondary Prize of a $500 Gift Card at Le Chateau will be contacted by email, and will be required to complete and return a Release form within 7 business days of receiving the notification in order to redeem their prize. Failure to respond or claim the prize within 7 days after notification or return of e-mail notification as undeliverable after one attempt will result in forfeiture of the Prize and another random draw will be made in Empire Theatres’ sole discretion. Total approximate retail value of all prizes in this Contest is $5,500.00 CAD.

GENERAL CONDITIONS
In order to be eligible to win a Prize in this contest, entrants must have correctly answered, without assistance or mechanical aid, the skill-testing question found on the entry form and otherwise comply with these Rules.
None of the Contest Entities, or their respective licensors, affiliates, associates, agents or representatives, or their respective directors, officers, agents, employees, affiliates and assigns (together with the Contest Entities, the “Released Parties”) shall be responsible in any way or bear any liability whatsoever in any way for any participation in this Contest or the awarding, acceptance, use, misuse, possession, loss or misdirection of any Prize, for any entries that are delayed, stolen, misdirected, lost, destroyed or damaged, for any failure or slowdown of programs or software supporting, connected to or related to this Contest, for any problems or technical malfunctions of any kind, including without limitation computer systems, servers, equipment or software, however caused, for any inability of any winner to accept a Prize for any reason or for any claim or loss attributable to a Prize awarded in this Contest.
In the event of dispute over the identity of a potential winner, an entry will be declared as entered by the authorized account holder of the email address submitted at the time of entry, and a potential winner may be required to provide identification sufficient to show that he/she is the authorized account holder of such email address. It is the sole responsibility of the entrant to notify Empire Theatres in writing if the entrant changes his or her e-mail address or any other contact information during the period of the Contest. Automated and/or repetitive submission of entries (including but not limited to entries made using any script, macro, bot or contest service) will be disqualified and transmissions from these or related email or IP addresses may be blocked. Entries that are forged, altered, incomplete, lost, late, illegitimate, or garbled will not be accepted and will be void.  Entries made by any other individual or any entity, and/or originating at any other web site or e-mail address other than as specifically set forth in these Official Rules, including, without limitation, commercial sweepstakes subscription notification and/or entering service sites, will be declared invalid and disqualified for this Contest.
All entries become the property of Empire Theatres and will not be acknowledged or returned.
Each potential winner and the potential Grand Prize winner’s guest will be required to sign and return, by the date specified in the correspondence from Empire Theatres, a fully completed Declaration, confirming understanding and acceptance of and compliance with these Rules and acceptance of the Prize as awarded, and a release of liability and publicity in the form provided by Empire Theatres acknowledging the non-responsibility of the Released Parties with regard to any injury, accident, loss and/or misfortune related to any aspects of the Prize (including travel related thereto). Each potential winner and the potential Grand Prize winner’s guest shall also grant to Empire Theatres (and to its nominee(s)) the unconditional right to use such individual’s name, address, voice, likeness, photograph, prize information and/or statements about the promotion for any publicity, advertising and promotional purposes without additional compensation, except where prohibited by law.
Failure to return the necessary documentation to Empire Theatres by the date specified in the correspondence from Empire Theatres may (in Empire Theatres’ sole discretion) cause the potential winner to forfeit the Prize in its entirety or make the guest of the potential Grand Prize winner ineligible to be a guest. If the potential guest does not return the documentation, it shall be in Empire Theatres’ sole discretion whether or not to permit the potential Grand Prize winner to select an alternate guest.
None of the Contest Entities are responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to errors in advertising, these Rules, the selection and announcement of winners, or the distribution of the Prize.
By participating in the Contest, entrants agree to: (i) abide by these Rules and the decisions of Empire Theatres and (if applicable) its nominees, which decisions shall be final, (ii) release and hold harmless each of the Released Parties from any and all claims for damage, injury, death, loss, or other liability that may arise from any entrant's participation in the Contest or the awarding, acceptance, use, or misuse of any prize, and (iii) waive all rights to claim punitive, incidental and consequential damages, attorney fees or damages other than actual out-of-pocket costs incurred to enter.
LIMITATION OF LIABILITY: EACH ENTRANT FURTHER AGREES TO RELEASE, HOLD HARMLESS AND INDEMNIFY THE RELEASED PARTIES FOR ANY LIABILITY WHATSOEVER FOR INJURIES OR DAMAGES OF ANY KIND SUSTAINED IN CONNECTION WITH THE ACCEPTANCE, POSSESSION, USE, MISUSE OR AWARDING OF PRIZE, WHILE PREPARING FOR, PARTICIPATING IN AND/OR TRAVELING TO OR FROM ANY PRIZE- OR CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY INJURY, DAMAGE, DEATH, LOSS, OR ACCIDENT TO PERSON OR PROPERTY.  EACH WINNER AGREES THAT THE PRIZE IS PROVIDED AS-IS WITHOUT ANY WARRANTY, REPRESENTATION, OR GUARANTEE, EXPRESS OR IMPLIED, IN FACT OR IN LAW, WHETHER NOW KNOWN OR HEREINAFTER ENACTED, RELATIVE TO THE USE OR ENJOYMENT OF THE PRIZE, INCLUDING, WITHOUT LIMITATION, ITS QUALITY, MERCHANTABILITY, OR FITNESS FOR A PARTICULAR PURPOSE. FURTHER, THE RELEASED PARTIES ACCEPT NO RESPONSIBILITY FOR ANY ADDITIONAL EXPENSES, OMISSIONS, DELAYS, OR RE-ROUTING RESULTING FROM ANY ACTS OF ANY GOVERNMENT OR AUTHORITY. GRAND PRIZE WINNER ACKNOWLEDGES THAT HE/SHE IS SOLELY RESPONSIBLE FOR ANY ACTIONS, CLAIMS OR LIABILITIES OF HIS/HER GUEST RELATED TO ANY CONTEST-RELATED ACTIVITY, INCLUDING, WITHOUT LIMITATION, ANY ACTIONS, CLAIMS OR LIABILITIES RELATED TO THE GUEST’S USE OF THE PRIZE.
Any claim or legal action arising or occurring with respect to the Contest, or the awarding, acceptance, use, or misuse of the Prize, shall be governed exclusively by Nova Scotia law, and shall be resolved exclusively in either the federal or provincial courts located in Halifax, Nova Scotia.
Empire Theatres retains the right, in its sole discretion, to modify these Rules or to suspend, modify or cancel the Contest at any time, and to make substitutions of equivalent kind or value in the event of the unavailability of any component of the Prize for any reason whatsoever. The Prize is not transferable and must be accepted as awarded. No cash redemption or substitution.
This Contest is subject to all federal, provincial and municipal laws and regulations. Decisions of Empire Theatres are final with respect to all aspects of this Contest.
